Terms and Conditions (T&C) \u2013 FRANK\u2019S Online Shop
Effective as of April 15, 2026<\/p>

1. Scope, Definitions<\/strong><\/p>

1.1 These Terms and Conditions apply to all contracts concluded between us and our customers through our online store.<\/p>

1.2 These Terms and Conditions apply to all products and services offered in the online store, in particular to:<\/p>

Tickets\/admission passes for events (e.g., events\/club gatherings),
vouchers (digital and\/or physical),
physical goods (e.g., merchandise, food\/delicacies, spirits\/alcoholic beverages, and other physical products).<\/p>

1.3 Any terms and conditions of the customer that differ from these shall not become part of the contract unless we expressly agree to their validity in writing or in text form.<\/p>

1.4 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their independent professional activity. A business operator is a natural person, a legal entity, or a partnership with legal capacity that, when entering into a legal transaction, acts in the course of its commercial or independent professional activity. <\/p>

3. Offer, Conclusion of Contract, Contract Text<\/strong><\/p>

3.1 The products and services displayed in the online store do not constitute a legally binding offer, but rather an invitation to place an order.<\/p>

3.2 The customer submits a binding offer by completing the online ordering process and submitting the order via the designated button.<\/p>

3.3 The contract is concluded as soon as we accept the customer\u2019s offer. Acceptance is effected by <\/p>

written confirmation via email (order confirmation, shipping confirmation, or delivery confirmation) or
shipment of the goods or provision of the digital product (e.g., issuance of a ticket or voucher).<\/p>

3.4 The text of the contract will be made available to the customer in writing (e.g., by email) after the order is placed. The language of the contract is German. <\/p>

3.5 Special provisions regarding tickets: Tickets entitle the holder to attend the event described, on the date, during the time period, and at the location specified in the event description.<\/p>

3.6 Special provisions regarding gift certificates: Depending on the description provided, gift certificates are classified as either prepaid gift certificates (purchased for a fee) or promotional\/discount gift certificates (marketing promotion), which may be subject to additional terms and conditions.<\/p>

4. Prices, Shipping Costs, Customs Duties<\/strong><\/p>

4.1 All prices are total prices and include the applicable sales tax, unless otherwise indicated.<\/p>

4.2 Any shipping costs will be shown separately during the ordering process.<\/p>

4.3 For international shipments, additional costs (e.g., customs duties, import taxes, local excise taxes\/duties) may apply, which are the responsibility of the customer. The customer is responsible for verifying the import and product regulations applicable in the destination country. <\/p>

5. Terms of Payment<\/strong><\/p>

5.1 Payment methods are displayed in the online store or at checkout. Unless otherwise specified, the purchase price is due immediately upon conclusion of the contract. <\/p>

5.2 Payments are processed via Stripe. If you choose Klarna, additional terms and conditions or checks by the respective payment provider may apply. <\/p>

6. Delivery, Shipping, Transfer of Risk<\/strong><\/p>

6.1 We deliver physical goods to the shipping address provided by the customer within the countries listed in the online store. Shipping is handled by a shipping provider selected by us. Delivery times and shipping costs are as specified in the online store or at checkout. <\/p>

6.2 Partial deliveries are permitted provided they are reasonable for the customer. The customer will only incur additional shipping costs if this is expressly stated during checkout. <\/p>

6.3 With respect to consumers, the risk of accidental loss or accidental deterioration of the goods does not pass to the consumer (or an authorized third party) until the goods are delivered. With respect to businesses, the risk generally passes to the carrier upon delivery. <\/p>

6.4 Digital products (e.g., digital tickets, digital vouchers) are provided to the customer electronically (e.g., via email, download link, or customer account). The customer must ensure that the email address provided is correct and that emails can be received. <\/p>

7. Digital tickets and digital vouchers<\/strong><\/p>

7.1 Digital tickets and digital vouchers are generally provided digitally upon successful payment. A right to receive them in a specific technical format exists only if this is expressly stated in the offer. <\/p>

7.2 The customer is required to protect digital tickets\/vouchers from unauthorized access. In the event of misuse (e.g., sharing ticket codes with multiple people), the customer has no right to admission or the service. <\/p>

8. Right of Withdrawal<\/strong><\/p>

8.1 Principle: Consumers generally have a statutory right of withdrawal for distance contracts. The withdrawal period is 14 days. <\/p>

8.2 No Right of Withdrawal \/ Exclusions (in particular): There is no right of withdrawal provided that the statutory requirements are met, in particular in the following cases:<\/p>

Tickets for recreational events where the service is scheduled for a specific date or time period (e.g., event tickets),
Goods that are liable to spoil quickly or whose expiration date would be quickly exceeded (e.g., certain fresh foods\/delicacies),
Sealed goods that are not suitable for return for reasons of health protection or hygiene, if the seal has been removed after delivery,
Goods not made off-the-shelf, which are manufactured according to customer specifications or clearly tailored to personal needs.<\/p>

8.3 Early expiration of the right of withdrawal for digital content: For digital content that is not delivered on a physical medium, the right of withdrawal expires once we have begun performing the contract after the consumer<\/p>

explicitly agreed that we may begin performance before the expiration of the cancellation period, and
confirmed that he is aware that, by giving his consent, he forfeits his right of cancellation once performance begins. (The necessary declarations will be obtained during checkout, where applicable.) <\/p>

8.4 Cancellation Policy (if a right of cancellation applies)<\/p>

Cancellation Policy
You have the right to cancel this contract within fourteen days without giving any reason.<\/p>

Cancellation Period
The cancellation period is fourteen days,<\/p>

for a contract for the purchase of goods: from the day on which you or a third party designated by you (who is not the carrier) took possession of the goods;
for a contract involving multiple goods that you ordered as part of a single order and that are delivered separately: from the day on which you or a third party designated by you took possession of the last item;
in the case of a contract for the delivery of goods in multiple partial shipments or pieces: from the day on which you or a third party designated by you took possession of the last partial shipment or the last piece;
in the case of contracts that do not concern the delivery of goods (e.g., gift certificates without a fixed date), from the day the contract is concluded.<\/p>

Exercising the Right of Withdrawal
To exercise your right of withdrawal, you must inform us (FRANKONIA Gastronomie GmbH, M\u00fchlenstr. 36, 40213 D\u00fcsseldorf, email: sales@thewellem.com) by means of a clear statement (e.g., a letter sent by mail or an email) regarding your decision to withdraw from this contract. You may use the attached model withdrawal form for this purpose, though this is not mandatory. <\/p>

Online Cancellation (Cancellation Button)
If we provide an electronic cancellation function (\u201ccancellation button\u201d) on our online user interface (or from the time we are legally required to do so), you may also exercise your right of cancellation using this function. If you use the online function, we will immediately send you a confirmation of receipt on a durable medium (e.g., via email). <\/p>

To meet the deadline for cancellation, it is sufficient for you to send the notice of cancellation before the cancellation period expires or (if using the online cancellation feature) to submit it in a timely manner.<\/p>

Consequences of Withdrawal
If you withdraw from this contract, we shall reimburse you for all payments we have received from you, including delivery costs (with the exception of additional costs resulting from your choice of a delivery method other than the cheapest standard delivery offered by us), without delay and no later than fourteen days from the day on which we receive notification of your withdrawal.<\/p>

We will issue the refund using the same payment method you used for the original transaction, unless we have expressly agreed otherwise with you.<\/p>

We may withhold the refund until we have received the goods back or until you have provided proof that you have returned the goods, whichever comes first.<\/p>

You must return or hand over the goods to us immediately, and in any case no later than fourteen days from the date on which you notify us of your cancellation: FRANKONIA Gastronomie GmbH, M\u00fchlenstr. 36, 40213 D\u00fcsseldorf. <\/p>

You are responsible for the direct costs of returning the goods.<\/p>

You are only liable for any loss in value of the goods if such loss is attributable to handling of the goods that goes beyond what is necessary to ascertain their nature, characteristics, and functioning.<\/p>

9. Gift Certificates<\/strong><\/p>

9.1 Gift certificates may be redeemed at FRANK\u2019S for services and products (events, bar, shop), unless otherwise specified on the certificate or in the certificate description.<\/p>

9.2 Vouchers or remaining balances cannot be redeemed for cash, unless a legal right to a refund exists.<\/p>

9.3 Gift certificates expire after the statutory limitation period has elapsed.<\/p>

9.4 Promotional\/discount coupons may be subject to certain conditions (e.g., minimum order amount, validity period, specific product categories, inability to combine with other offers). These conditions are specified with each promotional coupon. <\/p>

10. Tickets and Events<\/strong><\/p>

10.1 No Right of Withdrawal: There is no statutory right of withdrawal for tickets to scheduled recreational events.<\/p>

10.2 No Cancellation or Rescheduling by the Customer: The customer may not return, cancel, or reschedule tickets under any circumstances, unless a different goodwill or rescheduling policy is expressly offered in individual cases.<\/p>

10.3 Ticket Use and Transfer: Tickets are non-personalized and generally transferable, unless otherwise expressly stated for a specific event. Each ticket is valid for a single use only; in the event of multiple uses (e.g., copies or screenshots), admission will not be granted. <\/p>

10.4 Seat Selection: If seat selection is offered during the booking process, the seat assignment confirmed there shall apply. For compelling organizational reasons, seat changes may be necessary; in such cases, we will provide an equivalent seat whenever possible. If the seat assigned is not equivalent, we will offer an appropriate compensation (e.g., reimbursement of the price difference). <\/p>

10.5 Cancellation: If an event is canceled, we will refund the total amount paid by the customer for the ticket (including any fees included in the ticket price). Refunds will generally be issued via the original payment method. <\/p>

10.6 Rescheduling: If an event is rescheduled, tickets generally remain valid for the new date. In addition, the customer may request a refund if attending the rescheduled event is not possible or unreasonable for them. The refund request must be submitted within 14 days of notification of the rescheduling, but no later than 7 days before the new date. <\/p>

10.7 Program Changes: Changes to the cast, program, and schedule are possible. Such changes do not entitle you to a refund as long as the overall nature of the event remains unchanged. In the event of significant changes, we reserve the right to offer customer-friendly solutions. <\/p>

10.8 Admission Requirements: Admission is generally restricted to those 18 years of age or older. We reserve the right to conduct appropriate age and identity checks (official photo ID). We reserve the right to enforce our house rules. Admission may be denied for valid reasons, particularly in cases of invalid tickets, lack of proof of age, significant intoxication, aggressive behavior, violations of safety regulations, or official requirements. <\/p>

10.9 Additional Claims: Any additional claims by the customer (e.g., reimbursement of travel, lodging, or consequential expenses) are excluded to the extent permitted by law.<\/p>

11. Protection of Minors Regarding Alcoholic Beverages<\/strong><\/p>

11.1 Alcoholic beverages are sold and served exclusively to adults. By placing an order, the customer confirms that he or she is of legal age. <\/p>

11.2 We reserve the right to use appropriate measures to verify age. In particular, delivery can only take place after a successful age verification. <\/p>

11.3 If the delivery of alcoholic products fails for reasons attributable to the customer (e.g., the recipient is underage or does not have identification), the customer may be charged reasonable additional costs (e.g., redelivery or return shipping), to the extent permitted by law.<\/p>

12. Retention of Title<\/strong><\/p>

Delivered goods remain our property until full payment has been received.<\/p>

13. Warranty<\/strong><\/p>

The statutory warranty rights apply.<\/p>

14. Liability<\/strong><\/p>

14.1 We shall be liable without limitation in cases of willful misconduct and gross negligence, as well as in cases of injury to life, limb, or health.<\/p>

14.2 In the event of a breach of material contractual obligations (cardinal obligations) due to slight negligence, our liability is limited to the typically foreseeable damages.<\/p>

14.3 In all other respects, liability is excluded to the extent permitted by law.<\/p>

14.4 The liability provisions also apply in favor of our legal representatives and agents.<\/p>

14.5 The provisions of the Product Liability Act and liability arising from a warranty expressly assumed by us remain unaffected.<\/p>

15. Privacy Policy<\/strong><\/p>

Information regarding the processing of personal data can be found in the separate privacy policy in the online store.<\/p>

16. Consumer Dispute Resolution<\/strong><\/p>

We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.<\/p>

17. Final Provisions<\/strong><\/p>

17.1 This Agreement is governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that it does not deprive the consumer of mandatory consumer protection provisions of the country in which the consumer has his or her habitual residence. <\/p>

17.2 If the customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for disputes arising from the contractual relationship shall be our registered office. For consumers, the statutory places of jurisdiction shall apply. <\/p>

17.3 Should any provision of these Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
